These Enterprise Terms govern the Internal On-Premise Deployment of LiReach and LiConnect within your organization's infrastructure.

1. Scope and applicability

These Enterprise Terms ("Enterprise Terms") apply to the purchase and use of LiReach's Internal On-Premise Deployment service by the customer identified in the applicable proposal, quotation, order form or commercial agreement ("Customer").

Under the Internal On-Premise Deployment model, LiReach provides the Customer with an internal license to operate the applicable LiReach software components within infrastructure controlled by the Customer.

The Enterprise deployment may include the LiReach Outreach Management System and the LiConnect LinkedIn integration layer, together with deployment, configuration and agreed maintenance services.

These Enterprise Terms supplement the applicable LiReach Terms of Service and other written commercial documents applicable to the Customer.

2. Definitions

LiReach
The core Outreach Management System used to manage campaigns, leads and related outreach workflows.
LiConnect
The standalone LinkedIn integration layer used to connect applicable LinkedIn functionality with the LiReach system.
Customer Infrastructure
The server, VPS, hosting environment, domain, networking and related infrastructure provided or controlled by the Customer for deployment.
Internal Users
Employees, contractors or other authorized personnel of the Customer permitted to use the deployment for the Customer's internal business.
Maintenance Hours
Engineering and technical support time purchased by the Customer for maintenance, compatibility updates and other agreed technical work.

3. Enterprise internal-use license

Exclusive internal deployment

Operate LiReach inside your organization.

Subject to payment of the applicable license fees and compliance with these Enterprise Terms, LiReach grants the Customer a limited, non-transferable license to deploy and operate the agreed LiReach software components on the Customer's own infrastructure for the Customer's internal business operations.

The license is limited to the software components, deployment scope and rights expressly included in the applicable commercial agreement.

Unless expressly agreed in writing, the license does not transfer ownership of the underlying LiReach or LiConnect software, source code, intellectual property or technology to the Customer.

4. Permitted and prohibited use

The Customer may use the deployment for its internal business operations, subject to the scope of the purchased license.

  • Deploy LiReach on Customer-controlled infrastructure.
  • Use the deployment for internal business operations.
  • Permit authorized internal users to access the deployment.
  • Maintain internal backups of the deployment and Customer data.
  • Configure the system for the Customer's internal workflows.
× Not permitted
  • Resell LiReach as a SaaS product.
  • Provide LiReach access as a hosted service to unrelated third parties.
  • Sublicense the software.
  • White-label the software without written authorization.
  • Distribute or provide the LiReach source code to third parties.

Any rights outside the internal-use license must be expressly agreed in writing by LiReach.

5. Deployment and implementation

LiReach will provide the deployment services included in the applicable commercial proposal.

Unless otherwise agreed, deployment may include:

  • Initial application deployment.
  • Coolify setup and configuration.
  • LiReach application configuration.
  • LiConnect deployment.
  • LiReach ↔ LiConnect integration.
  • Integration testing and go-live support.

Deployment timelines are estimates and depend on the readiness and availability of Customer infrastructure, access credentials, domains, networking and other required dependencies.

6. Customer infrastructure

The Customer is responsible for providing and maintaining the infrastructure required to host the on-premise deployment.

Actual infrastructure requirements may vary based on the Customer's usage, number of users, number of connected accounts, workloads, integrations and deployment configuration.

The Customer is responsible for infrastructure-level security, server administration, networking, domain configuration and infrastructure-level backups unless expressly included in the applicable service agreement.

7. Responsibilities of the parties

LiReach responsibilities

We handle the application layer.

  • Initial application deployment.
  • Agreed Coolify setup.
  • LiReach and LiConnect integration.
  • Purchased maintenance and engineering work.
  • Applicable LinkedIn API compatibility updates within the agreed maintenance scope.
Customer responsibilities

You control the infrastructure.

  • Providing the VPS and required infrastructure.
  • Domain and networking configuration.
  • Internal user management.
  • Infrastructure-level security.
  • Infrastructure-level backups.
  • Compliance with applicable LinkedIn terms and requirements.

8. Maintenance and technical support

Enterprise deployments may include a defined block of maintenance and engineering hours as specified in the applicable commercial proposal.

Annual maintenance
100 hrs

Unless otherwise stated in the applicable commercial agreement, the standard Enterprise proposal may include an annual maintenance block for ongoing engineering support, compatibility updates and related technical work.

Maintenance hours may be used for agreed technical work such as application maintenance, compatibility updates, troubleshooting, configuration assistance and other engineering tasks within the agreed scope.

Unused maintenance hours, rollover rights and expiration rules will be governed by the applicable commercial agreement.

9. LinkedIn API dependency

Third-party dependency

LiConnect depends on the APIs, permissions, products, policies, rate limits and capabilities made available by LinkedIn.

LiReach cannot guarantee the continued availability of a particular functionality if LinkedIn removes, restricts, changes or discontinues the underlying capability.

Compatibility updates

Where LinkedIn provides a technical migration path, supported API capability or other technically available mechanism, LiReach will use reasonable technical efforts to update LiConnect within the applicable maintenance or support scope.

Where a LinkedIn change requires work beyond the purchased maintenance scope, the additional work may require separate estimation and approval.

When LinkedIn removes a capability

If LinkedIn permanently removes or restricts an underlying capability, LiReach cannot guarantee that an equivalent replacement will be technically possible.

Where reasonably possible, LiReach will help the Customer understand the impact, identify available alternatives and determine an appropriate technical path forward.

We won't leave you to figure it out alone. Where a supported technical upgrade, migration or configuration change is available, the LiReach team will make reasonable efforts to help implement or guide the required change within the applicable service scope.

10. Custom development and scope boundaries

The Enterprise deployment covers the existing LiReach and LiConnect solution and the specific deployment and maintenance services included in the applicable commercial proposal.

The following may require separate estimation, commercial approval or a separate statement of work:

  • Major new features.
  • Major UI or UX redesigns.
  • New third-party integrations.
  • Additional applications.
  • Additional infrastructure.
  • Custom development.
  • Material changes to the existing architecture.

LiReach will not be required to perform material out-of-scope work without an applicable agreement covering that work.

11. Customer data and privacy

Because the Enterprise deployment operates within Customer-controlled infrastructure, the Customer maintains primary control over the data stored within that deployment, subject to the technical services provided by LiReach.

Customer data may include information such as:

Lead information
Prospect names, professional details, company information and other lead-related information.
Campaign data
Campaign configuration, targeting criteria, messages, templates and outreach settings.
Interaction data
Outreach activity, responses, conversation history and related workflow information.
Internal user data
Information associated with users authorized by the Customer to access the deployment.

The Customer remains responsible for determining whether its processing of personal data is lawful and for providing any required notices, obtaining necessary permissions and complying with applicable privacy laws.

Where applicable, the parties may enter into a separate Data Processing Agreement .

12. Infrastructure and security responsibilities

The Customer is responsible for securing the infrastructure on which the on-premise deployment operates.

This may include:

  • Server access controls.
  • Operating system security.
  • Network security.
  • Firewall configuration.
  • Infrastructure credentials.
  • Server-level monitoring.
  • Infrastructure-level backups.
  • Domain and DNS security.
On-premise does not mean zero responsibility. The Customer controls the hosting environment and is therefore responsible for securing and maintaining that environment unless a specific infrastructure responsibility has been expressly assigned to LiReach in writing.

13. Intellectual property

LiReach retains ownership of the LiReach and LiConnect software, source code, architecture, algorithms, interfaces, designs, documentation, trademarks and related intellectual property unless expressly agreed otherwise in writing.

The Enterprise license grants the Customer the agreed right to operate the software internally. It does not transfer ownership of the underlying technology.

Customer-specific data, business information, campaign content and other Customer materials remain owned by the Customer or their respective owners, subject to applicable rights and agreements.

14. Commercial terms and payment

Enterprise pricing is determined through a custom commercial proposal and may include separate charges for:

  • Software license.
  • Initial deployment and setup.
  • Annual maintenance.
  • Additional engineering hours.
  • Custom development.
  • Additional infrastructure or services.

The exact fees, payment schedule, taxes, renewal terms and other commercial conditions will be set out in the applicable proposal, quotation, order form or agreement.

Unless otherwise agreed in writing, LiReach is not required to begin deployment or additional paid engineering work until applicable payment or authorization requirements have been satisfied.

15. Confidentiality

Each party may receive confidential or non-public information from the other party in connection with the Enterprise deployment.

Each party agrees to use reasonable measures to protect confidential information and to use such information only for purposes related to the applicable business relationship.

Confidentiality obligations do not apply to information that is publicly available, independently developed, lawfully received from another source or required to be disclosed by law.

16. Termination and license rights

The Enterprise agreement will remain in effect for the period specified in the applicable commercial agreement.

Upon expiration or termination, the Customer's right to use the licensed LiReach and LiConnect software will end unless a continuing license has been expressly granted under the applicable agreement.

The Customer must stop using the licensed software when its license rights expire or are terminated, except where continued access is expressly permitted under a written agreement.

The Customer may retain Customer-owned data in accordance with applicable law and its own retention policies, subject to any separate contractual requirements.

17. Disclaimers and limitation of liability

The Enterprise deployment is provided subject to the limitations and disclaimers contained in the applicable LiReach agreement.

LiReach does not guarantee that the deployment will generate a particular number of leads, meetings, customers, revenue or other commercial outcomes.

LiReach also does not guarantee the continued availability of third-party capabilities, including LinkedIn APIs, permissions, products or technical functionality.

To the maximum extent permitted by applicable law, LiReach will not be responsible for failures caused by Customer infrastructure, Customer configuration, third-party services or circumstances outside LiReach's reasonable control.

Enterprise deployments have shared dependencies. LiReach is responsible for the application-layer services included in the agreed scope. The Customer remains responsible for its own infrastructure and third-party platform relationships unless otherwise agreed in writing.

18. Events outside reasonable control

Neither party will be responsible for delays or failures caused by circumstances beyond its reasonable control, including major infrastructure failures, internet outages, natural disasters, government actions, third-party platform changes, widespread security incidents or other comparable events.

The affected party will use reasonable efforts to mitigate the impact and resume performance when reasonably possible.

19. Changes to the Enterprise service

LiReach may update or improve the software over time. Updates may modify existing functionality, improve performance, address security issues or maintain compatibility with third-party services.

Material changes that require additional Customer infrastructure or work outside the agreed scope may require separate planning or commercial approval.

20. Governing law and disputes

The Enterprise relationship will be governed by the governing law and dispute-resolution provisions in the applicable commercial agreement.

21. Order of precedence

If the Customer has a signed commercial agreement, order form or statement of work that expressly modifies these Enterprise Terms, the specific written commercial agreement will control to the extent of any conflict.

Otherwise, these Enterprise Terms will apply to the Internal On-Premise Deployment together with the applicable LiReach Terms of Service.
